These Terms of Use govern access to and use of the MaiaMetrics website, platform, material catalogue, supplier directory and related services.
1. Operator information
The website and services are operated by:

“MaiaMetrics”, “we”, “us” and “our” refer to the operator identified above.
2. Business users only
MaiaMetrics is intended exclusively for businesses, professionals and persons acting in connection with their trade or professional activity.
By using the platform or submitting an enquiry, you confirm that you are acting for business purposes and that you have authority to act on behalf of the organisation you represent.
The platform is not intended for consumers.
3. Nature of the platform
MaiaMetrics is a B2B material-discovery, data-structuring and sample-logistics service for performance fabrics and technical textiles.
Unless expressly stated otherwise in writing:
- MaiaMetrics is not the manufacturer, importer, distributor or seller of the materials displayed on the platform;
- MaiaMetrics is not a party to contracts entered into between buyers and suppliers;
- product listings do not constitute binding offers;
- sample requests and sourcing enquiries are non-binding until separately confirmed in writing;
- MaiaMetrics does not guarantee that a transaction will be completed between a buyer and a supplier.
Any commercial transaction for the purchase or production of materials remains subject to the separate terms agreed between the buyer and the relevant supplier.
Prototype and pilot status
MaiaMetrics is currently operating as an early-stage prototype and pilot service. The website, catalogue, supplier directory, product records, functionality and related services remain under development and may be incomplete, unavailable or contain errors.
Unless expressly confirmed otherwise in writing:
- information displayed on the website is provided for preliminary evaluation and demonstration purposes;
- publication of a supplier or material does not confirm commercial availability, regulatory compliance, independent verification or endorsement by MaiaMetrics;
- sample availability, delivery times, prices, minimum order quantities and supplier participation are not guaranteed;
- certain records, images or data may be illustrative, provisional or supplied for demonstration purposes;
- features, listings and services may be modified, suspended, removed or discontinued without prior notice.
Users must not rely exclusively on the prototype when making purchasing, manufacturing, regulatory, safety or commercial decisions. All relevant information must be independently confirmed with MaiaMetrics, the supplier or an appropriately qualified professional before a transaction or material-selection decision is made.
Nothing displayed on the prototype constitutes a binding commercial offer or a commitment by MaiaMetrics to provide a particular feature, service, supplier relationship, material, sample or delivery date. Any paid service, sample shipment or commercial engagement is subject to separate written confirmation.
4. Supplier-provided information
Product descriptions, technical specifications, compositions, certificates, test reports, sustainability claims, origin information, lead times, minimum order quantities and other supplier information may be supplied by manufacturers, mills, laboratories or other third parties.
MaiaMetrics may organise, standardise and review this information for presentation purposes. Unless a listing expressly states that a particular item has been independently verified by MaiaMetrics or an identified third party, publication on the platform does not mean that MaiaMetrics has independently audited, tested or certified the information.
We do not guarantee that supplier information is:
- accurate, complete or current;
- applicable to every batch, colour, finish or production run;
- sufficient for a particular intended use;
- accepted by any regulator, certification body, customer or authority;
- supported by authentic, current or valid documentation.
Suppliers remain responsible for the accuracy, legality and completeness of the information and documentation they provide.
5. No compliance guarantee
The platform is intended to support material discovery and preliminary evaluation. MaiaMetrics does not provide a guarantee that any material, supplier or document complies with applicable laws, technical standards, product-safety requirements, customs requirements, environmental rules or customer specifications.
References to regulations, certifications, standards or compliance documentation are provided for general business information only and do not constitute legal, regulatory, engineering, chemical, environmental or product-safety advice.
Buyers must carry out their own due diligence and obtain professional advice where appropriate before purchasing, importing, manufacturing with, selling or placing any product on the market.
6. Buyer responsibilities
Before relying on any material or supplier information, buyers must independently confirm with the supplier:
- the current technical specification;
- material composition and construction;
- performance characteristics;
- regulatory status;
- certificate validity and scope;
- applicable test methods;
- production location and origin;
- minimum order quantity;
- lead time;
- price and payment terms;
- batch consistency;
- suitability for the intended product or application.
Buyers are solely responsible for determining whether a material is appropriate, lawful and safe for their intended use.
Materials intended for personal protective equipment, medical applications, fire protection, workwear, transport, structural applications or other safety-critical uses must not be selected solely on the basis of information displayed on MaiaMetrics.
7. Samples
Samples are supplied for preliminary evaluation only.
A sample may not be identical to future production quantities. Differences may arise in colour, shade, texture, weight, finish, coating, composition, performance or other characteristics between sample material and commercial production batches.
Photographs and colours displayed on screens may not accurately represent the physical material.
Receipt, inspection or approval of a sample does not constitute acceptance or approval of future bulk production. Buyers must agree appropriate production specifications, tolerances, testing, inspection and quality-control procedures directly with the supplier.
8. Sample delivery and logistics
Delivery dates and dispatch times are estimates unless expressly guaranteed in a separate written agreement.
MaiaMetrics is not responsible for delays, loss, damage, customs inspections, import restrictions, force-majeure events or delivery failures caused by couriers, customs authorities, suppliers, recipients or other third parties, except to the extent directly caused by MaiaMetrics and where liability cannot lawfully be excluded.
Recipients are responsible for providing accurate delivery details and for complying with applicable import, customs and product-restriction requirements.
Any specific storage, handling, delivery, insurance or sample-replacement terms may be governed by a separate written agreement or quotation.
9. No warranties
The website, platform and information are provided on an “as available” basis.
To the maximum extent permitted by law, MaiaMetrics excludes all express or implied warranties concerning:
- platform availability;
- uninterrupted or error-free operation;
- accuracy or completeness of content;
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- commercial results;
- supplier performance;
- material performance;
- successful delivery or completion of a transaction.
MaiaMetrics may correct, remove or update information at any time without notice.
10. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or gross negligence.
Subject to the previous paragraph, MaiaMetrics shall not be liable for:
- indirect or consequential loss;
- loss of profit, revenue, opportunity, production, anticipated savings, goodwill or business;
- product recalls;
- manufacturing delays;
- rejected production;
- loss caused by inaccurate supplier information;
- regulatory penalties or customs action;
- decisions made in reliance on platform content;
- acts or omissions of suppliers, buyers, laboratories, couriers or other third parties;
- incompatibility of a material with the buyer’s intended use.
To the maximum extent permitted by law, MaiaMetrics’ total aggregate liability arising from use of the website or services shall not exceed the greater of:
- the fees paid directly by the claimant to MaiaMetrics during the twelve months preceding the event giving rise to the claim; or
- EUR 500.
This limitation applies regardless of whether the claim arises in contract, tort, negligence, misrepresentation, restitution or otherwise.
11. Supplier warranties
A supplier that provides content, documents, samples or product information to MaiaMetrics confirms that:
- the information is accurate to the best of its knowledge;
- it has authority to provide and publish the information;
- publication does not infringe third-party rights;
- certificates and reports have not been altered or misrepresented;
- sustainability and compliance claims are properly substantiated;
- it will inform MaiaMetrics promptly of material changes, expirations, suspensions, recalls or inaccuracies;
- its products comply with the laws applicable to the markets in which it offers them.
MaiaMetrics may suspend or remove any supplier or listing where information appears inaccurate, misleading, unlawful, outdated or insufficiently supported.
12. Indemnity by business users
To the maximum extent permitted by law, a business user shall indemnify MaiaMetrics against third-party claims, losses, liabilities and reasonable professional costs arising from:
- information or documents supplied by that user;
- infringement of intellectual-property or confidentiality rights;
- misleading or unlawful product claims;
- misuse of the platform;
- breach of these Terms;
- the user’s products, commercial conduct or contractual obligations.
This clause does not apply to the extent that the relevant loss was caused by MaiaMetrics’ fraud, wilful misconduct or gross negligence.
13. Intellectual property
The MaiaMetrics name, brand, platform design, database structure, text, categorisation, graphics and original content are owned by or licensed to MaiaMetrics.
Product names, trademarks, certification marks and supplier materials remain the property of their respective owners.
Users may access the platform for legitimate internal business evaluation. Without prior written permission, users may not:
- reproduce or republish substantial parts of the platform;
- systematically download platform data;
- scrape, crawl or extract the database;
- resell or commercially redistribute platform content;
- use automated systems to copy listings;
- remove copyright or ownership notices;
- use MaiaMetrics content to create a competing database or service.
14. Third-party websites and services
The platform may contain links to supplier websites, laboratories, certification bodies, couriers or other third-party services.
MaiaMetrics does not control and is not responsible for third-party websites, content, privacy practices, products or services. The inclusion of a link does not constitute endorsement.
15. Suspension and termination
MaiaMetrics may restrict, suspend or terminate access to the platform where a user:
- breaches these Terms;
- provides misleading information;
- interferes with platform security;
- infringes third-party rights;
- uses the platform unlawfully;
- creates legal, regulatory or reputational risk.
MaiaMetrics may modify, suspend or discontinue all or part of the prototype or service at any time.
16. Reporting inaccuracies and unlawful content
Users should report suspected inaccuracies, expired certificates, intellectual-property violations or unlawful content to: sales@maiametrics.com
Reports should identify the relevant listing and explain the reason for the request. MaiaMetrics may investigate, request supporting evidence, amend the listing or temporarily remove it.
17. Privacy
Personal data is processed in accordance with the MaiaMetrics Privacy Notice.
The Privacy Notice forms a separate document and explains the purposes, legal bases, retention periods and rights relating to personal-data processing.
18. Changes to these Terms
MaiaMetrics may update these Terms from time to time.
The revised version will be published on the website with an updated revision date. Where required, registered or contracting users may be asked to accept revised terms before continuing to use particular services.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in effect.
An invalid provision shall, to the extent legally possible, be interpreted or replaced in a manner that most closely reflects its original commercial purpose.
20. No waiver
Failure or delay by MaiaMetrics in enforcing a provision of these Terms does not constitute a waiver of that provision or any other right.
21. Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by Italian law.
For disputes involving business users, the courts of Rome shall have exclusive jurisdiction, subject to any mandatory jurisdiction that cannot lawfully be excluded.
